Agreement to terms
These Terms of Service govern your use of the 1UPVA website (1upva.com) and any virtual assistant services you engage us for. By using our site or engaging our services, you agree to these terms. If you don't agree, please don't use our site or services.
Our services
1UPVA matches clients with dedicated virtual assistants across categories including customer support, executive assistance, admin, social media management, research and travel planning, e-commerce support, bookkeeping-lite, video editing, and graphic design. Full descriptions and starting rates are listed on our Services and Pricing pages.
Rates shown on our site are starting prices. Final pricing depends on task complexity, required skill level, and volume, and will be confirmed with you before any work begins.
Engagement and payment
- Engagements are month-to-month. There is no long-term contract, and you may adjust hours or cancel at any time.
- Hourly services are billed based on hours worked, at the rate agreed with you.
- Video editing and graphic design projects are billed per deliverable, as described on our Pricing page, unless we agree to an hourly arrangement for ongoing volume work.
- Invoices are due on the terms communicated to you at the start of your engagement.
Revisions
Video editing and graphic design deliverables include 2 rounds of revisions. Additional revision rounds are billed at $10 each, as described on our Pricing page.
Client responsibilities
To help your assigned virtual assistant do good work, you agree to provide reasonably timely access, information, feedback, and any tools or accounts needed to complete agreed-upon tasks.
Intellectual property
Once you've paid in full for a deliverable (a document, graphic, edited video, or similar work product created specifically for you), it's yours to use. We may, unless you ask us not to, reference non-confidential examples of completed work for portfolio or marketing purposes.
Confidentiality
We treat information you share with us about your business as confidential, and we expect the same regarding any internal 1UPVA processes or materials shared with you.
No guarantee of results
Our virtual assistants support your business operations, but we can't guarantee specific business outcomes, revenue, or growth as a result of our services.
Limitation of liability
To the fullest extent permitted by law, 1UPVA's total liability for any claim arising from our services is limited to the amount you paid us for the specific services giving rise to the claim in the preceding month. We are not liable for indirect, incidental, or consequential damages.
Termination
Either party may end an engagement at any time. You remain responsible for payment for work completed up to the date of termination.
Rematch policy
If your assigned virtual assistant isn't the right fit, we'll rematch you with a new assistant at no extra cost, as described on our Pricing page.
Governing law
These terms are governed by the laws of the Philippines, without regard to conflict-of-law principles.
Changes to these terms
We may update these terms as our business changes. We'll update the "Last updated" date above when we do. Continued use of our site or services after a change means you accept the updated terms.
